StockMarket Exchange Participation Agreement

This StockMarket Exchange Participation Agreement (“Agreement”) is entered into by and between:

  • Licensor: BackshopAviation.com, located at [Your Business Address in Tennessee].
  • Participant: Any registered user who engages in transactions on BackshopAviation.com.

Article 1. Definitions

  • StockMarket Exchange: The online platform operated by BackshopAviation.com for the listing, referencing, and potential purchasing of aviation components.
  • Participant: A registered entity or individual who uses the StockMarket Exchange to engage in transactions.
  • Transaction: The act of listing, inquiring about, or purchasing items through the StockMarket Exchange, which becomes binding upon acceptance of terms on the platform.
  • Participant Information: Any data or content submitted by the Participant to the StockMarket Exchange, including but not limited to contact details, product listings, and transaction history.

Article 2. License Grants and Restrictions

2.1 Access and Use

  • Licensor grants Participant a limited, revocable, non-exclusive license to access and use the StockMarket Exchange strictly in accordance with this Agreement.
  • The platform may be used only for lawful purposes related to aviation parts sourcing, references, and transactions.

2.2 Restrictions

  • Participants shall NOT:
    🚫 Modify, copy, distribute, or exploit platform content for unauthorized commercial purposes.
    🚫 Use automated systems or software to extract data from the website for commercial purposes (“screen scraping”).
    🚫 Engage in fraudulent, misleading, or deceptive activities within the StockMarket Exchange.

Article 3. Participant Obligations

3.1 Account Security

  • The Participant is responsible for maintaining the confidentiality of their account credentials and all activities conducted under their account.
  • BackshopAviation.com is not liable for unauthorized access resulting from negligence in safeguarding login details.

3.2 Compliance with Laws

  • Participants must comply with all applicable federal, state (Tennessee), and local laws regarding online transactions, parts listings, and export regulations.

3.3 Content Accuracy & Representation

  • Participants guarantee the accuracy, completeness, and legality of all content provided, including part descriptions, conditions, certifications, and availability.

Article 4. Fees and Payments

4.1 Fees

  • A detailed schedule of fees for using the StockMarket Exchange will be maintained on the website and updated periodically.
  • Participants agree to pay all applicable fees for listing and transaction services, if applicable.

4.2 Payment Terms

  • Payments are due upon invoicing.
  • Late payments may result in suspension of services or additional charges.

Article 5. Intellectual Property

5.1 Licensor Ownership

  • BackshopAviation.com retains all rights, titles, and interests in the StockMarket Exchange, including all software, technology, branding, and proprietary content.

5.2 License to Participant Content

  • Participants grant BackshopAviation.com a worldwide, non-exclusive right to use, reproduce, and display Participant-submitted content as necessary for the platform’s operation.

Article 6. Confidentiality

  • All non-public information shared during transactions on the StockMarket Exchange is confidential and may not be disclosed without proper authorization.
  • Participants must protect confidential information and use it only for business dealings related to the StockMarket Exchange.

Article 7. Dispute Resolution & Legal Compliance

7.1 Governing Law

  • This Agreement shall be governed by the laws of the State of Tennessee without regard to its conflict of laws principles.

7.2 Dispute Resolution

  • Any disputes arising under this Agreement shall be resolved through binding arbitration in Tennessee in accordance with the rules of the American Arbitration Association (AAA).

Article 8. Termination and Modification

8.1 Termination

  • Either party may terminate this Agreement with thirty (30) days’ written notice.
  • Immediate termination applies in cases of breach of contract or unlawful activity.

8.2 Amendments

  • Amendments to this Agreement may be made with mutual written consent from both parties.

Article 9. Limitation of Liability & Disclaimer of Warranties

  • The StockMarket Exchange is provided “AS IS” and “AS AVAILABLE” without warranties of any kind.
  • BackshopAviation.com does not guarantee platform uptime, service accuracy, or uninterrupted access.

9.2 No Warranty for Third-Party Services

  • BackshopAviation.com is not liable for the actions, listings, or transactions of third-party sellers or buyers.

9.3 No Guarantee of Business Outcomes

  • Participation in the StockMarket Exchange does not guarantee sales, profitability, or successful transactions.

Article 10. User Responsibilities & Indemnification

10.1 User Acknowledgment

  • Participants acknowledge and accept all risks associated with using the StockMarket Exchange.

10.2 Indemnification

  • Users agree to indemnify and hold BackshopAviation.com harmless from any claims, liabilities, or damagesarising from:
    • Non-compliance with regulations
    • Misrepresentation of part conditions or certifications
    • Disputes between buyers and sellers
